Disclaimer of Warranties
The Intel Division website and services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
To the fullest extent permitted by law, Zenplex Digital, its affiliates, licensors, and service providers disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that:
- The website or its content will always be available, timely, secure, or error-free.
- The website will meet your specific expectations or work with other systems or platforms.
- Any defects or issues will be corrected.
- The site, its servers, or communications from Intel Division are free from malware, viruses, or other harmful elements.
- Any content provided is complete, current, or reliable.
You assume all responsibility and risk for your use of the website. Depending on your jurisdiction, some exclusions may not apply to you, particularly if consumer protection laws override these disclaimers.
Indemnification
You agree to defend, indemnify, and hold harmless Zenplex Digital, its directors, officers, employees, partners, and affiliates from and against any claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use or misuse of the Intel Division website or services.
- Your violation of these Terms, applicable laws, or third-party rights.
- Any content or information you submit through the website.
This clause survives termination of the agreement.
Severability
These Terms, along with the Privacy Policy and any other legally binding notices published by Intel Division, constitute the entire agreement between you and Zenplex Digital concerning the use of our services.
If a court of competent jurisdiction deems any part of these Terms unenforceable or invalid, the remaining provisions shall remain in effect and enforceable. No waiver of any provision or right shall be interpreted as a waiver of any other provision or future enforcement of that right.
Any claim or dispute relating to the Intel Division services must be brought within one (1) year from the date the claim arises. After this period, any such claim is permanently barred.
Waiver
A party’s failure to exercise or enforce any provision under this agreement does not waive that right or provision. Any waiver must be made in writing. No waiver of a past breach shall be construed as a waiver of any future breach.
Entire Agreement
These Terms and Conditions constitute the full agreement between you and Zenplex Digital about using the Intel Division website and services. They supersede all prior or concurrent understandings, communications, and proposals — whether oral or written.
If you engage with additional Intel Division services, those may be governed by supplemental terms and conditions provided at the time of service.
Amendments to This Agreement
Zenplex Digital reserves the right to update or change these Terms at any time at its sole discretion. In the case of material changes, we will provide notice (e.g., through the website or direct communication) at least 30 days before the changes become effective.
Your continued use of the Intel Division website and services after such modifications shall be deemed your acceptance of the updated Terms. If you disagree with the updated Terms, stop using the services.
Intellectual Property
All content, design, and functionality of the Intel Division website — including but not limited to software, text, graphics, logos, video, audio, and layout — are the intellectual property of Zenplex Digital or its licensors.
These materials are protected under international copyright, trademark, and other intellectual property laws. Except as expressly allowed in writing by Intel Division, you may not reproduce, distribute, modify, or create derivative works based on any portion of the website.
Unauthorized use of any content or functionality may result in legal action.
Agreement to Arbitrate
This section governs the resolution of any legal disputes arising from these Terms or your use of the services, excluding claims seeking equitable or injunctive relief related to protecting intellectual property rights.
The term “dispute” includes any disagreement or claim — contractual, statutory, tort-related, or otherwise — arising from or connected to your relationship with Intel Division.
Binding Arbitration
If a dispute cannot be resolved through informal negotiation, both parties agree to settle the matter through final and binding arbitration under the commercial arbitration rules of the courts of Cyprus.
You waive the right to litigate or participate in any class action or jury trial by agreeing to arbitration. Arbitration proceedings will occur in a jurisdiction selected by Intel Division unless both parties agree otherwise. Either party may seek temporary injunctive relief in court to protect its interests while pending arbitration.
The losing party shall bear the prevailing party’s legal, administrative, and other costs.
Notice of Dispute
If a dispute arises, either party must issue a formal Notice of Dispute, which must include:
- Full legal name and contact information of the notifying party
- A detailed description of the issue or event giving rise to the dispute
- The remedy or resolution being sought
All notices must be sent in writing. Notices to Intel Division must be delivered by email to
info@intel-division.com
If we have your address or business contact information, we may use that to issue our formal response or notice.
Both parties agree to attempt to resolve the dispute through negotiation within 60 days of the notice. If the issue remains unresolved, arbitration may be initiated thereafter.
Submissions and Privacy
By submitting or uploading any concepts, suggestions, technical ideas, creative content, documents, designs, images, marketing proposals, or other materials (“Submissions”) to Intel Division, you agree that such content will be considered non-confidential and non-proprietary.
All rights to such Submissions will automatically transfer to Zenplex Digital, and Intel Division shall have full ownership without any obligation to provide you credit, compensation, or acknowledgment. This includes the right to use, reproduce, adapt, publish, or distribute the materials in any form or medium, globally and in perpetuity, for any business purpose — including but not limited to service development, promotional use, or operational enhancement.
Intel Division assumes no responsibility for safeguarding or returning any submitted materials.
Promotions
From time to time, Intel Division may offer contests, promotions, or similar activities (“Promotions”) through its website or related channels. Participation in any such activity may require you to provide personal or business information.
Specific eligibility criteria and rules, such as geographic or age restrictions, may govern each Promotion. It is your responsibility to review and comply with these rules before participating.
By entering a Promotion, you confirm that you meet the stated requirements and accept all terms and conditions associated with the activity.
Typographical Errors
Intel Division takes all reasonable steps to ensure the accuracy of service descriptions and pricing. However, if a typographical or system error results in incorrect pricing or service information, we reserve the right to refuse or cancel any related orders.
This right applies even if your order has been confirmed and payment has already been processed. If a transaction is canceled after payment, we will issue a full refund to the original payment method without delay.
